Good company but poor governance / management style

Pros
Good salary and benefits, good employee protection in general , located in a good business area and well connected to transportations.
Cons
Poor governance, work environment is not attractive and not international. lack of consistency starting with policies and procedures, a poor management style, managers do not seem to be provided with the right tools and trainings and it’s maybe not their fault ?. Performance is not rewarded equally accros the organisation. A company which can do a much bigger business.
